1.1. These Terms of Service ("Terms") govern your use of Dimelo 2Live LLC’s website, services, and products, including but not limited to custom Shopify website development, customized code solutions, and graphic design services.
1.2. By using our services, you confirm that you are at least the age of majority in your jurisdiction or have obtained consent from a parent or legal guardian.
1.3. Dimelo 2Live LLC reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective upon posting on this website.
2. Services Offered
2.1. Dimelo 2Live LLC specializes in custom Shopify website development, customized code services, graphic design, and Shopify sections tailored to client needs.
2.2. Services are provided with a 30-day warranty covering functionality and compatibility issues for custom Shopify services. Graphic design services and customizations, including websites, features, or sections, are non-refundable.
3. Graphic Design Services
3.1. Any artwork created by Dimelo 2Live LLC for customers who have not purchased a commercial use license remains the property of Dimelo 2Live LLC. Unauthorized commercial use of such artwork is subject to legal action.
3.2. Customers who do not require commercial use rights may use the artwork for personal purposes only. This includes designs such as illustrations of personal assets (e.g., cars) or logos provided by Dimelo 2Live LLC.
3.3. If customers require the artwork for commercial use, they must purchase full licensing rights. This grants the customer ownership of all files, including original and editable files.
3.4. Upon purchase of a commercial use license, Dimelo 2Live LLC will provide a licensing document after the design is completed and approved by the customer.
4. Warranty
4.1. Our services include a 30-day warranty that ensures all custom features, sections, or websites function as intended and are compatible with the client’s Shopify theme.
4.2. If the delivered service does not work due to installation errors or section defects, Dimelo 2Live LLC will fix the issue at no additional cost.
4.3. The warranty does not cover:
- Changes made by the client or third-party developers.
- Issues caused by custom theme modifications after installation.

Design or functionality requests beyond the original scope of work.
- 4.4. Graphic design services are non-refundable as they are custom and tailored to client specifications. Once delivered, all designs are considered final unless errors attributable to Dimelo 2Live LLC are identified.
- 4.5. Clients experiencing issues should contact our support team immediately at sales@dimelo2live.com. Our team will assess the issue and provide a solution under the warranty terms.
5. Refund Policy
5.1. Refunds are available only under the following conditions:
- A full refund will be issued if the services cannot be completed due to compatibility issues with the client’s Shopify theme.
- Refunds are not provided after a service has been delivered within the 30-day warranty period, even if defects are found. Issues will be resolved under the warranty terms.
- Graphic design services and customizations, including websites, features, or sections, are non-refundable due to their custom nature.
- 5.2. Dimelo 2Live LLC does not offer refunds based on delays in delivery. Estimated completion times are averages for similar tasks but may vary due to the unique requirements of each theme or project.
- 5.3. Refund requests outside these terms will not be considered.
6. Estimated Time for Services
6.1. The estimated timeframe for completing services is provided as a guideline based on the average time required for similar work.
6.2. These timelines are not guaranteed due to the varying complexity of themes and tasks.
7. Payments
7.1. All payments must be made in full before the commencement of services.
7.2. Dimelo 2Live LLC reserves the right to suspend or terminate services if payments are not completed.
8. SMS Notifications and Marketing
8.1. By providing your phone number, you consent to receive SMS notifications from Dimelo 2Live LLC for updates on orders, account activity, and promotional offers.
8.2. Message frequency varies, and standard message and data rates may apply.
8.3. To opt out of SMS marketing, reply "STOP" to any SMS message or contact us directly at sales@dimelo2live.com. Opting out will not affect transactional communications.
9. Intellectual Property
9.1. All custom code, designs, and materials provided by Dimelo 2Live LLC remain the intellectual property of Dimelo 2Live LLC unless explicitly transferred in writing.
9.2. Clients may not reproduce, distribute, or resell the provided services without express written consent.
10. Limitation of Liability
10.1. Dimelo 2Live LLC is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our website, products, or services.
10.2. We make no guarantees regarding the functionality, reliability, or accuracy of third-party themes or platforms.
11. Governing Law
11.1. These Terms are governed by and construed in accordance with the laws of the State of Florida.
11.2. Any disputes arising under these Terms will be resolved exclusively in the courts located in Davie, Florida.
12. Disclaimers
12.1. No Guarantees or Warranties Beyond Scope: Dimelo 2Live LLC does not guarantee specific business outcomes, such as increased sales or traffic, as a result of our services.
12.2. Third-Party Services Disclaimer: Dimelo 2Live LLC is not responsible for limitations or issues caused by third-party platforms, including Shopify.
12.3. Limitation on Results: Custom code or features may depend on the client’s existing theme or platform configurations, which are outside of our control.
13. Indemnification
13.1. The client agrees to indemnify and hold harmless Dimelo 2Live LLC, its officers, employees, and contractors from any claims, damages, or liabilities arising from:

14. Scope of Support
14.1. Post-Warranty Support: After the 30-day warranty period, additional support or adjustments to delivered services will be subject to a new agreement or hourly fees.
14.2. Exclusions from Support: Dimelo 2Live LLC does not provide support for modifications made by clients or third-party developers.
15. Acceptance of Risk
15.1. Acceptance of Third-Party Risks: By using our services, clients acknowledge that third-party platforms, such as Shopify, may introduce unforeseen limitations or conflicts.
15.2. Customization Risks: Clients accept responsibility for risks related to future platform updates or changes made by third parties.
16. Arbitration Clause
16.1. Dispute Resolution Through Arbitration: Any disputes or claims arising out of these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
16.2. Location: Arbitration will take place in Davie, Florida.
16.3. Costs: Each party will bear its own arbitration costs unless otherwise required by law.
16.4. Waiver of Class Actions: Clients agree to resolve disputes individually and waive the right to participate in class-action lawsuits.
17. Force Majeure
17.1. Dimelo 2Live LLC is not liable for delays or failure to perform services due to events beyond our reasonable control, including but not limited to natural disasters, power outages, labor strikes, government restrictions, or platform disruptions.
18. No Partnership or Agency
18.1. Relationship Disclaimer: Use of our services does not create a partnership, joint venture, or agency relationship between the client and Dimelo 2Live LLC.
19. Entire Agreement
19.1. These Terms represent the entire agreement between the client and Dimelo 2Live LLC, superseding any prior agreements or communications.
